This Agreement sets forth the terms and conditions (“Terms”) governing your participation as an “Affiliate” in the Helabet Partners Program (“Program”). By joining the Program, you agree to comply with these Terms and any future modifications.
Definitions
Client: Any individual or entity using the Program’s services.
Offer: Promotional opportunities outlined by the Program, including specific terms for commissions and campaigns.
Sub-Affiliate: A third party engaged by the Affiliate, subject to approval by the Program.
Program Guidelines
Participation in the Program is subject to the following rules:
- Affiliates will receive unique login credentials (username and password) for the Program Site. These must not be shared or transferred.
- Only individuals aged 18 or above, or those of legal age in their jurisdiction, are eligible.
- Sub-Affiliates may be engaged with prior written consent, and the Affiliate remains responsible for their compliance.
- The Program reserves the right to verify the information provided. Misrepresentation or false details can lead to account termination and forfeiture of earnings.
- Affiliates act as independent contractors and cannot present themselves as employees or agents of the Program.
Affiliates must use only approved advertising materials provided by the Program. Any custom banners, emails, or logos require prior written approval. Affiliates bear full responsibility for the operation, content, and compliance of their websites.
Offers
Affiliates are granted a non-exclusive, non-transferable license to publish the Offers available on the Program Site. Any changes or modifications to these Offers without explicit permission are strictly prohibited.
Payments
- Commissions are based on the terms outlined in each Offer, such as Revenue Share, CPA, or Hybrid payment plans.
- Payments are processed weekly, with a minimum withdrawal threshold of $30.
- Affiliates must provide accurate bank or payment details. Any delays caused by inaccuracies are the responsibility of the Affiliate.
- All payments are calculated based on verified records maintained by the Program.
The Program reserves the right to withhold payments if traffic or activity is deemed suspicious or in violation of Program standards.
Good Faith
Affiliates are expected to ensure that all traffic and leads generated adhere to the Program’s quality standards. Any activities identified as fraudulent or manipulative will result in withheld payments and possible account suspension.
Fraud
Fraudulent actions include, but are not limited to:
- Artificially inflating commissions.
- Using unapproved methods for lead generation.
- Engaging in spam or deceptive advertising practices.
Violations may lead to immediate account suspension, forfeiture of earnings, and disclosure of information to appropriate authorities.
Prohibited Activities
The following activities are strictly prohibited:
- Sending email spam.
- Using the Helabet Partners brand in contextual advertising without approval.
- Running ClickUnder or PopUnder ads.
- Sharing false or misleading information about the Program.
Breaching these rules will result in account termination and forfeited earnings.
Responsibilities and Warranties
Affiliates agree to:
- Comply with all applicable laws and regulations in their jurisdiction.
- Ensure their advertising is truthful and not misleading.
- Maintain accurate and up-to-date account information.
- Abide by anti-spam laws such as the CAN-SPAM Act.
- Use Program content and tracking tags without alteration.
- Avoid activities that could harm the Program’s reputation.
Confidentiality
Affiliates may receive sensitive information from the Program. By participating, Affiliates agree to:
- Use such information solely for Program-related purposes.
- Safeguard and prevent unauthorized disclosure of confidential data.
Upon termination, all confidential materials must be returned or destroyed as directed by the Program.
Non-Competition
During the term of this Agreement and for 6 months after termination, Affiliates shall not:
- Solicit clients of the Program.
- Recruit Program employees for competing initiatives.
- Engage in activities directly competing with the Program.
Disclaimer and Limitation of Liability
The Program disclaims all warranties and liabilities for any damages arising from loss of profits, delays, or activities by third parties. The Program is not liable for indirect or consequential damages.
Termination
- The Program may terminate this Agreement with 6 hours’ notice.
- Affiliates may terminate with 48 hours’ notice.
- Upon termination, Affiliates must immediately remove all promotional materials and cease using the Program’s brand assets.
General
- The Program reserves the right to amend this Agreement at any time. Affiliates are responsible for staying informed about updates.
- This Agreement overrides all prior agreements and is legally binding.
- This Agreement is governed by English law, and the English version prevails in case of discrepancies.
